活动规则简述
  • 账户持有方参与本活动的资格是:2020财年(即2019年7月1日至2020年6月30日)的不含税月平均消费必须等于或超过6,500元人民币。
  • 活动期间的每个完整的由易络盟定义的财政月度(“财政月”)是一个目标月。
  • 对于任何目标月而言,月平均消费是指账户持有方在任何目标月之前连续三个财政月的月平均消费金额,且连续三个财政月的月平均消费必须高于2020财年(即2019年7月1日至2020年6月30日)的月平均消费。
  • 任何账户持有方如要在本活动中赢取奖品,该账户持有方在相关目标月中的不含税的消费(“目标消费”)必须等于或超过该目标月的月平均消费的125%。
  • 在条款中,该目标月的消费(不含税)达到或超过月平均消费的那部分目标消费额称作“增加的消费”。任何有资格取得奖品的账户持有方将获得等值于其增加的消费的5%的奖品,但是,奖品价值不得超过该目标月的目标消费的3%。

  1. 活动概述
    1. 本活动:本活动中,账户持有方可通过易络盟下单购买产品赢取奖品。
    2. 活动组织方:本活动由易络盟电子(中国)有限公司(在条款中简称为“易络盟”)推出。易络盟将向在中国市场具有较高知名度的第三方购物平台(以下简称“第三方”)采购面值不等的礼品卡或等值礼券并由该第三方负责配送物流事宜。
    3. 活动期间:本活动报名时间为2020年6月1日至2020年6月30日,账户持有方须在2020年6月30日前签回授权合同才能成为本年度本活动的有效参与方。易络盟保留在任何时候提前30天向指定人员发出书面通知,宣布结束本活动(该通知将以电子邮件发送,并张贴在网站上:cn.element14.com)。
  2. 活动参与
    1. 具有活动资质的客户:本活动仅限于易络盟账户持有方,该账户持有方为下单方或持有易络盟的账户(在条款中简称为“账户持有方”)。仅当账户持有方达到每月平均消费的规定要求(如下文定义),方有资格获得本活动下的奖品。使用同一账户名称和账号的个人、组织或实体在本条文中被认为是一个“账户持有方”。
    2. 以下账户持有方不得参与本活动:
      • 国家工作人员、国家工作人员近亲属或其他与该国家工作人员关系密切的人,或前国家工作人员,他们的近亲属或与他们关系密切的人;
      • 政府机构(包括国有企业、事业单位或人民团体)或其代理、员工或代表;
      • 未能与易络盟签订与本活动有关的《授权合同》(定义参见下文)的账户持有方;
      • 易络盟的董事、高级管理人员、雇员、代理或上述各方的亲戚和家属;
      • 被易络盟视为竞争者或供应商的个人或实体(易络盟对竞争者或供应商的界定是终局性的);
      • 账户持有方在同一时间已经参加其他活动的,包括但不限于返利活动。
    3. 我们保留最终决定哪个客户可以加入项目的权利,并且有权在活动期间内,在合理时间内书面通知您停止以下所列的任何推广活动。
    4. 《授权合同》:作为账户持有方参与该活动的条件,或是获得奖励资格的条件,易络盟已经要求或将会要求账户持有方与之签订一份授权合同(“《授权合同》”)。《授权合同》将确定任何代表账户持有方的个人(“代表方”)的权限,从而以账户持有方身份将参与活动,并要求账户持有方提供一名高级人员(“指定人员”)的具体信息,以便向其发出活动信息以及发送奖品。《授权合同》还可能要求账户持有方提名另一名高级管理人员或雇员,本活动的奖品信息将抄送给该人员。同时,接收奖励的指定人员与账户持有方的另一名高级管理人员或雇员不应当是同一个人,除非他/她是账户持有人的法定代表人。
    5. 本活动下的奖品是为且仅向账户持有方提供。奖品不提供给任何账户持有方的个人代表且不为该等代表之利益提供。
    6. 一些组织禁止或限制其雇员和高级员工参与此类活动,并且/或禁止接受或使用此类活动的奖品,即使以相关组织的名义也遭到禁止。易络盟尊重账户持有方禁止参与此类活动以及/或接受此类活动奖品的政策。任何经账户持有方禁止参与活动的员工、代表均不得参与本活动。
    7. 尽管易络盟在本活动下提供的奖品将受到严格控制,仅提供给账户持有方,但参与本活动的个人或实体应负责检查必要的活动参与授权/同意以及/或领奖的授权/同意,并且,在此情况下,应负责获得该等授权和/或同意,并遵循相应的条款。易络盟保留以下权利:要求提供附加的授权证据(在上述《授权合同》之外),并且,当任何代表方提供的授权证据不符合要求时,有权中止其活动参与以及/或该活动下的领奖。账户持有方应当在撤回该等同意或批准后,或停止适用该等同意或批准后,立即通知易络盟。
    8. 法律禁令或限制:账户持有方或其代表应负责确保该账户持有方或其代表参与本活动不会违反任何适用的法律或法规。如某一账户持有方或其代表所遵循的法律法规(为避免歧义,其中包括美国、英国和中国现行的任何反腐败法)禁止或限制其参与该活动和领奖,那么,任何该活动的参与以及该活动中的领奖权利将会自始无效。
  3. 获得活动资格的消费和目标
    1. 获得活动资格的消费:

    4. 但以下款项除外:
      • 任何送货和包装费用,任何有关增值税,销售税、关税或其他税款。
      • 如果某一账户持有方通过一名以上的代表参与本活动,那么,将计算由该账户持有方的所有代表所下达的订单总和,从而决定该账户持有方的消费额。
    5. 限制:
      • 在本活动期间,本活动中所计算的目标消费不再计入由易络盟推出或运作的任何其他活动。这包括(但不仅限于)其他提供购物卡作为奖励的活动、以及彩票和抽奖活动(但是,由易络盟决定,可以不包括那些并非基于客户从易络盟购物为条件的活动)。
      • 所有单板机(包括但不限于树莓派、BeagleBone 、Micro Bit及其套件等)产品不参加此活动。①
      • 在本活动期间,易络盟保留以下权利:排除或限制任何参与本活动的账户持有方参与任何或一切其他由易络盟运作或管理的活动、促销或优惠。
  4. 奖品
    1. 奖品:在本条款期间,本活动可获得的奖品是由易络盟指定的第三方发行的礼品卡或其他等值礼券,可用于兑换该第三方提供的各种产品和服务。该奖品不可转让、不可退换、也不可以等额的现金替代。
    2. 奖品发放:奖品将根据授权合同由第三方发给指定人员。在发货当日,易络盟将以邮件形式通知指定人员发货信息,如发货信息存在错误或者对礼品卡金额等存在异议,指定人员应当在收到邮件之日起的10日内书面通知易络盟。如逾期未收到通知的,视为指定人员对奖品发放不存在异议。
    3. 指定人员将代表账户持有方负责奖品的接收、再分配、使用。 客户使用礼品卡还应当遵守第三方公布的礼品卡使用规则。如因账户持有方自身原因导致任何无法使用或者限制使用礼品卡的情况,易络盟将不承担任何责任。
    4. 易络盟保留以下权利:在任何时候,以类似价值的奖品替代上述奖品,或以额外的奖品扩充上述奖品。任何替代奖品或补充奖品的具体信息将在易络盟官网公布或另行书面通知。本活动下的奖品(或任何替代奖品、补充奖品)在条款中简称为“奖品”。
    5. 税务责任:获得的奖品需要由账户持有方如实入账并依法支付税款。任何此类的责任,其中包括但不仅限于:收到以及/或使用任何奖品的通知义务或披露义务,均由账户持有方一方全权承担,其代表应当确保此类通知或披露及时和适当地发出。如果因账户持有方未能遵循本条款、违反相关会计准则或逃避税务责任而发生任何及一切责任,由账户持有方自行承担并且应保护易络盟免于承担此类责任且予以相应赔偿。
    6. 抽查:易络盟保留以下权利:为了确保奖品的发放、接收和/或使用遵循规定,易络盟有权不时进行抽查。易络盟可以联系参加本活动的账户持有方核实相应信息。
    7. 在接受了适用的《授权合同》以及一切与本活动相关的其他条款和条件以后,易络盟将尽到其合理的努力,在目标月结束后60天内,指示第三方将奖品发送到相关指定人员的送货地址或邮寄地址。如未能在上述期限内送达,易络盟不承担任何责任。
    8. 奖品条款:奖品将基于第三方的条款和条件发放并使用。对于奖品使用的条款和条件或任何由第三方提供的服务、或第三方未能提供货物或服务而引起的纠纷、索赔或权利主张,易络盟均不承担任何责任。易络盟仅负责购买并安排提供礼品卡或其他构成奖品的内容,并不承担因奖品的运输、 分配、激活、使用、结算或者因其可用性、有效性而产生的或与之相关的任何损害、损失、费用、赔偿的责任。在法律允许的最大限度内,易络盟特此明确排除一切其他的保证或陈述。
  5. 免责和责任限制
    1. 保留条款:易络盟确认,本文条款中的任何内容,均不会造成易络盟非法免除其责任,或非法企图免除其责任。
    2. 责任限制:受限于条款5.1所述,易络盟、其母公司或任何易络盟的子公司,或上述母公司和子公司的董事、高级职员和雇员(在本文条款中,以上统称为“关联方”)均未对本活动或其可能的奖品作出任何明示或暗示的担保、保证或表述。对账户持有方注册本活动或参与本活动产生的任何相关责任、索赔、兑现或活动奖品的价值、该奖品的送达、使用或享用、或任何与上述内容相关的事件或情形,易络盟或任何其关联方均不承担责任。特此明确排除上述内容中任何对于条件、可销售性或恰当性、适用性的暗示性保证。在法律允许的最大限度下,如果易络盟存在任何上述责任,那么,易络盟与该活动相关的任何责任仅限于相关账户持有方应得的奖品的价值。
    3. 在本文条款中,“责任”是指:任何及一切由相关事件直接或间接引发的成本、费用、赔偿、赔偿金、诉讼、诉讼程序、要求、损失以及其他责任(包括以全额赔偿为基准的律师费)。

  7. 一般条款
    1. 第三方:任何易络盟指定的第三方均无权代表易络盟发表任何声明或限制约束易络盟。
    2. 活动转让:在任何时候,易络盟在本活动中的权利和义务可以由易络盟转让给任何相关或不相关的实体,转让后,本活动将由该受让方负责。
    3. 变更通知:易络盟保留以下权利:在任何时候均有权修改本活动的条款。在任何时候,本文条款的最新版本将在网站上发布,同时,除另行说明外,本文条款的任何变更将即刻生效。在不限制本条款的一般性的前提下,上述变更可能包括:在活动期间结束之前,终止本活动的注册报名,或变更条款1.3中所述的活动期间的截止时间。
    4. 违反本活动条款:当客户发生任何涉嫌欺诈、不当行为或违反本活动条款的情况,易络盟将保留以下权利:在认为恰当的情况下采取行动,其中包括:在发出通知或不发出通知的情况下,请示相应政府机关、没收奖品、中止或取消任何账户持有方的活动参与资格并追回已经发放的奖品。
    5. 解释:本活动的条款解释仅由易络盟进行。易络盟的决定将对活动的各方面具有约束作用。本活动或活动提供的任何优惠均不得构成或产生账户持有方对于易络盟或任何其关联方的法律或合同权利。
    6. 法律管辖:本活动以及本活动中发生的相关争议或主张应当由中华人民共和国法律进行解释和管辖。所有账户持有方不可撤回地同意:中华人民共和国的法院应当具有专属管辖权,处理本活动中发生的相关争议或索赔。

备注:
①自2017年2月1日起,树莓派全系列产品不参加此活动且不计入目标消费。自2018年7月1日起,所有单板机(包括但不限于树莓派、BeagleBone、Micro Bit及其套件)不参加此活动且不计入目标消费。

  1. OVERVIEW OF THE PROMOTION
    1. This Promotion: This loyalty campaign allows accountholders to earn rewards by placing orders and buying goods from eluomeng.
    2. Promotion Organizer: This promotion is offered by eluomeng electronics (China) Co., Ltd, trading as eluomeng (and known as ‘eluomeng’ in these terms). eluomeng may purchase shopping vouchers or any equivalence in various amount from reputable 3rd party platform (the 3rd party) who will be responsible for the distribution and delivery.
    3. Term of Promotion: The registration time for this promotion is from June 1, 2020 to June 30, 2020. The account holder must sign back the authorization letter before June 30, 2020 to become a valid participant of this year's promotion. But eluomeng reserves the right to bring the promotion to an end at any time on not less than 30 days’ notice in writing to Designated Person(s) (which notice will be sent by email and posted to the website: cn.element14.com).
  2. PARTICIPATION
    1. Eligible customers: This promotion is only open to accountholders of eluomeng which is the counterparty to any order or which holds the account with eluomeng (known as "Accountholder" in these terms). Only Accountholders achieving the requisite level of Average Monthly Spend (as defined below) will be entitled to rewards under this promotion. An individual, organization or entity which purchases from eluomeng under the same account name and ID number is regarded as an “Accountholder” in these terms.
    2. The following Accountholders may be excluded from participation in this promotion:
      • Current or former Public officials, civil servants or their relatives or any person with close relationship;
      • Governmental departments or institutions (including state-owned entities, public institutions, people’s organizations) and their employees, officers or agents;
      • Any Accountholder which fails to enter into an Authorization Contract (as defined below) with eluomeng relating to this promotion;
      • Directors, officers, employees or representatives of eluomeng or any Agent and their respective relatives and members of their households;
      • Individuals or entities deemed by eluomeng to be its competitors or suppliers (and so that eluomeng’s decision as to which such individuals or entities are its competitors or suppliers shall be final);
      • The accountholder who has already participate in any promotion including without limitation rebate program.
    3. We reserve the right to decide which customer can finally join the program and we have the right to terminate any promotions listed below during the Promotion Period by providing you with written notice in a reasonable time period.
    4. Authorization Contract: eluomeng has required or may require the Accountholder to enter into an authorization contract with eluomeng as a condition of Accountholder participating in this promotion or qualifying for rewards under it (the “Authorization Contract”). The Authorization Contract will confirm the authority of any individuals representing Accountholder (“Representative”) to cause Accountholder to take part in this promotion and may require details of a senior person (“Designated Person”) at Accountholder to whom details of the promotion and any reward under the promotion may be sent. It may also require the Accountholder to nominate another senior officer or employee to whom details of rewards accruing under the promotion may be copied. The designated person to receive any reward should not be the same one as the senior officer or employee unless he/she is legal representative of the Accountholder.
    5. The rewards available under this promotion are offered to and intended for Accountholder. They are neither offered to nor intended for the benefit of any individual representing the Accountholder.
    6. Some organizations prohibit or restrict their employees and officers from taking part in promotions such as these and/or from receiving or use rewards, even when done on behalf of the relevant organization. eluomeng respects the policies of Accountholders which forbid participation in promotions such as these and/or the acceptance of rewards under them. Any employees or Representatives prohibited from taking part by the Accountholder may not take part.
    7. While eluomeng offers rewards are under this promotion strictly to the Accountholder, each person or entity entering the promotion is responsible for checking if any authorizations/consents necessary to take part and/or claim any rewards under it and, if so, obtaining and maintaining any such authorizations and/or consents and complying with their terms. eluomeng reserves its right to require additional evidence of authority (over and above the Authorization Contract) and suspend participation if not satisfied by evidence of authority of any Representative to take part in the promotion and/or receive rewards under it. eluomeng shall be notified by Accountholder immediately if any such consent or permission is withdrawn or ceases to be applicable.
    8. Legal prohibitions or restrictions: It is the responsibility of Accountholder or its Representative(s) to ensure that the participation of that Accountholder or its Representative(s) in the promotion will not contravene any applicable laws or regulations. Participation in the promotion and the right to any rewards earned will be void when prohibited or restricted by any law or regulation binding on an Accountholder or the Representative(s) which represent it (including, for the avoidance of doubt, any anti bribery laws in force in the United States of America, United Kingdom and PRC).
  3. QUALIFYING SPEND AND TARGETS
    1. Qualifying Spend:
      • Accountholders whose FY20 (ie from July 1, 2019 to June 30, 2020) average monthly spend (excluding Tax) is equal to or exceeds RMB 6,500 are eligible to take part in this promotion.
      • Each full fiscal month defined by eluomeng (“fiscal month”) during the Promotion Period is a Target Month.
      • Average Monthly Spend in respect of any Target Month is the average Spend of the Accountholder over the three consecutive fiscal month period immediately preceding any Target Month, and the average monthly spend of the three consecutive fiscal months period must be higher than FY20 (ie from July 1, 2019 to June 30, 2020) average monthly spend.
    2. Earning rewards:
      • In order for any Accountholder to earn rewards under this promotion, the Spend of that Accountholder in the relevant Target Month (“Target Spend”) must be equal to or more than 125% of the Average Monthly Spend for that Target Month.
      • The amount by which the Target Spend equals or is more than 100% of the Average Monthly Spend for that Target Month is referred to in these terms as the “Incremental Spend”. Any Accountholder qualifying for rewards under this 3.2 will receive rewards equal in value to 5% of the Incremental Spend provided that the value of the Rewards cannot exceed 3% of the Target Spend in that Target Month.
    3. Spend: In these terms ‘Spend’ means the total aggregate amount invoiced to the Accountholder by eluomeng at any time during the relevant period , in respect of the purchase price of all goods ordered by the Accountholder from eluomeng (provided that eluomeng reserves the right to exclude the purchase price of any goods which are not paid for by the appropriate payment dates or are returned and to re-calculate Spend to take account of any such exclusions) but excluding:
      • Any costs of delivery and packing, amounts paid in respect of VAT, sales taxes or duties.
      • Where an Accountholder participates in this promotion through more than one Representative, orders placed by the Representative(s) representing such Accountholder will be aggregated for the purposes of determining the Spend of that Accountholder.
    4. Limitation:
      • Target Spend taken into account for the purposes of this promotion will not be taken into account for the purposes of any other promotion offered or operated by eluomeng during the Promotion Period. This includes (but is not limited to) promotions offering incentives such as shopping vouchers, as well as sweepstakes and prize draws (but may not, at eluomeng’s discretion, include promotions which are not dependent on the customer making any purchases from eluomeng).
      • All the single board computers (including Raspberry Pi, BeagleBone, Micro Bit or their accessories) are not involved in this campaign and the sales of the same will not be counted as Target Spend ①
      • eluomeng reserves the right to exclude or bar any Accountholder participating in this promotion from taking part in all or any other promotion, offer or campaign operated or run by eluomeng during the Promotion Period.
  4. REWARDS
    1. Rewards: The rewards available under this promotion as at the date of these terms are shopping vouchers or its equivalence provided by the 3rd party appointed by eluomeng and may be exchanged for a wide range of products and services provided by such 3rd party. The Rewards are non-negotiable and non-refundable and no cash alternative will be offered.
    2. Issuing of Rewards: The Rewards will be issued by the 3rd party to the Designated Person according to the Authorization Contract. eluomeng will notify the Designated Person by email of the delivery information on the delivery day. Should the delivery information is incorrect or there is dispute about the voucher amount, the Designated Person shall notice eluomeng in writing within 10 days after receiving the email. The delivery will be deemed as undisputed and accepted by the Designated Person if no reply is given by the same within the period. The Designated Person is responsible for any use (including any further distribution) of the Rewards by or on behalf of the Accountholder.
    3. The Designated Person shall be responsible for the reception, use and sub-distribution of the Rewards on behalf of the Accountholder.
    4. The use of the shopping vouchers shall also be subject to the rules and regulations published by 3rd party. Eluomeng will in no case be liable for any limited use or unavailability of the shopping vouchers arising due to any reason attributable to the Accountholder. eluomeng reserves the right to replace these rewards with alternatives or substitutes of similar values or to augment them with additional rewards at any time and details of any alternative, substitute or supplemental rewards available will be posted to eluomeng’s website or given in writing otherwise. Rewards offered under this promotion (or any alternatives, additions or substitutes for them on offer from time to time) are referred to in these terms as the ‘Rewards’.
    5. Tax Liability: Rewards receivable shall be recorded in the financial books accurately and be chargeable to tax in the hands of the Accountholder. Any such liability, including without limitation, any obligation of notification or disclosure connected with the receipt and/or use of any Reward, shall be the sole responsibility of the Accountholder and its Representative(s) shall ensure that such notifications or disclosures are properly made in a timely fashion. The Accountholder shall be solely liable for all and any Liabilities arising out of or in connection with failure of the Accountholder to comply with this Terms and Conditions, breach of any applicable accounting standards or discharge its responsibilities in respect of tax. The Accountholder shall also protect and keep eluomeng indemnified of the same.
    6. Random checks: eluomeng reserves the right to carry out random checks to ensure that the compliance of dispatch, receipt and use of any Rewards. eluomeng may contact a Accountholder who participates in this promotion.
    7. Subject to having received an applicable Authorization Contract and all other terms and conditions of this promotion, eluomeng will use its reasonable endeavors to instruct the 3rd party to send the Rewards to the delivery/mailing address of the relevant Designated Person within 60 days after the end of the Target Month. eluomeng will have no liability in the event that this timescale is not met.
    8. Terms of Rewards: The Rewards are issued by the 3rd party according to its usual terms and conditions. eluomeng will have no responsibility for any dispute, compensation or claim arising from the terms of the Rewards or any services provided by the 3rd party or its failure to provide any goods or services. Eluomeng will only be responsible for the purchase and the arrangement of provision of the shopping vouchers and will not be liable for any lose, damage, expense, cost or compensation arising from or in connection with the delivery, distribution, activation, use, payment of the shopping vouchers or its availability, effectiveness. All further warranties or representations are hereby expressly excluded to the fullest extent permitted at law.
  5. EXCLUSION AND LIMITATIONS OF LIABILITY
    1. Saving provision: eluomeng confirms that nothing in these terms will affect any liability for any matter in relation to which it would be illegal for eluomeng to exclude or to attempt to exclude its liability.
    2. Limitation of Liability: Subject to 5.1, neither eluomeng, its parent company nor any subsidiary of eluomeng or such parent company or any of their directors, officers and employees (together referred to in these terms as the ‘Associates’) makes any guarantee, warranty or representation of any kind, express or implied, with respect to this promotion or the rewards potentially available under it. Neither eluomeng nor any of its Associates shall be responsible for any Liability that may arise out of or in connection with any Accountholder’s registration for or participation in this promotion, the claiming, redemption or value of rewards under it, the delivery, use or enjoyment of such rewards or any events or circumstances arising out of or in connection with any of them. Any implied warranties of condition, merchantability or suitability or fitness for purpose of any of them are hereby expressly excluded. To the fullest extent permitted by law and to the extent that eluomeng has any such Liability, any Liability of eluomeng with respect to the Promotion is limited to the value of the Rewards due to the relevant Accountholder.
    3. Definition of Liability: Wherever used in these terms, ‘Liability’ shall mean any and all costs, expenses, claims, damages, actions, proceedings, demands, losses and other liabilities (including legal fees and costs on a full indemnity basis) arising directly or indirectly out of or in connection with the matter concerned.
  6. DATA PROTECTION
    Personal data: By taking part in this promotion or requesting or receiving Rewards under it, the Accountholder confirms his or her consent to the use by eluomeng of his or her personal data for the purpose of this promotion, including the provision of that data to any 3rd party. The Accountholder further confirms that its Representatives, Designated Person and Senior Person also consent to the use of their data by eluomeng for these purposes and that the Accountholder has authority to provide this confirmation on their behalf. Any such consent shall not affect any consent or other permission or right which eluomeng otherwise has to use that personal data for other purposes (such as marketing). This promotion is subject to the pricy policy of eluomeng which is available at cn.element14.com.
  7. GENERAL
    1. The 3rd party: Any 3rd party appointed by eluomeng has no right or authority to make any representations on behalf of or to bind eluomeng.
    2. Promotion Assignment: The rights and obligations of eluomeng under the promotion may be assigned or transferred by eluomeng to any other related or unrelated entity at any time, and performance thereafter shall be the responsibility of that entity.
    3. Notice of Changes: eluomeng reserves the right to amend the terms of this promotion at any time. The latest version of these terms at any time will be set out on the Site and any changes to them will be effective immediately unless stated otherwise. Without limiting the generality of this clause, such changes may include closing registration for the promotion prior to the end of the Promotion Period or changes to the scheduled date for termination of the Promotion Period in 1(iii)
    4. Violation of the terms of the promotion: In the event of any suspected fraud, impropriety or breach of the terms of this promotion, eluomeng reserves the right to take such action as it sees fit, including reference to appropriate governmental authorities, the forfeiture or take-back of Rewards, suspension or cancellation of any Accountholder’s participation in the promotion or any part of it, with or without notice.
    5. Interpretation: Interpretations of terms of this promotion shall be at the sole discretion of eluomeng. The decision of eluomeng is binding on all matters concerning the promotion. Neither the promotion nor any benefit offered by the promotion creates, constitutes or gives rise to any legal or contractual rights by Accountholder against eluomeng or any of its Associates.
    6. Governing law: This promotion and dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the PRC law and all Accountholders irrevocably agree that the courts of PRC shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this promotion.

① From 1st February, 2017, all Raspberry Pi products are not involved in this campaign and the sales of the same will not be counted as Target Spend. From 1st July, 2018 all the single board computers (including Raspberry Pi, BeagleBone, Micro Bit or their accessories) are not involved in this campaign and the sales of the same will not be counted as Target Spend.
